As part of Allianz Technology SE´s Legal Department, you advise the company in all legal areas (except tax law and labor law). You provide business oriented legal advice to safeguard the interests of the company, to ensure adherence to applicable laws and regulations and to guide senior management. You will be part of the newly established Corporate Governance & Boards team that is committed to providing legal support and consultation in connection with company law, maintenance of the legal entity organization, and corporate governance and board matters. The team manages the legal entity organization forming the global Allianz Technology Group which is part of the regulated insurance group of companies, Allianz Group. Your role will involve advice and consultation on all aspects of company law, following corporate formalities (board and committee meetings, board resolutions, directors` responsibilities). Besides legal aspects, this role will provide you with a deep understanding of the strategic developments at Allianz Technology Group and give you the opportunity to closely interact with the office of the Chair of the Supervisory Board and the Allianz Technology CEO-Office.

You will

• Research and address legal issues within the company law and governance areas.
• Draft and review in German and English language corporate documents (e.g., rules of procedure), corporate resolutions and accompanying legal documentation (e.g. for meetings of the Supervisory Board of Allianz Technology SE such as agenda, resolution proposals, minutes) including documents for notarization.
• Provide advice on legal issues to all levels of management and staff, identifying potential legal issues related to corporate and operational business policies.
• Raise awareness of, and develop risk mitigation measures related to company law, corporate governance matters and processes.
• Work with the global Allianz Technology Legal community in developing universal corporate administration and governance practices and procedures to streamline and standardize Allianz Technology governance practices and legal entity administration.
• Work in cross-functional teams to reshape organizational structures in Allianz Technology Group, in line with evolving business needs and the regulatory environment.
• Conduct trainings on corporate law.
• Closely follow legislative processes both on a national and European level with respect to corporate law and define the necessary steps for their implementation at Allianz Technology SE.
• Oversee and steer external legal counsel, where applicable.

Your skills

• Completed studies in law and Second German State Exam – fully qualified lawyer

(at least 16 points combined from First and Second State Exams)

• English: Business fluent
• Strong team-work skills and intercultural experience
• Strong analytical and negotiation skills
• Organized and process driven, with the ability to work independently
• Excellent written and verbal communication skills
• A keen attention to details
• At least four years professional experience at an international law firm or in the legal department of an international company in the field of corporate law and corporate housekeeping.
